What constrains executive decision-making in California

  • The damages structure has no ceiling. Government Code section 12965(d) allows a court to grant “any relief a court is empowered to grant” – compensatory damages including emotional distress, punitive damages, injunctive relief, back and front pay – with no statutory cap, plus attorney’s fees, costs and expert witness fees to a prevailing plaintiff under section 12965(c)(6). Federal Title VII caps combined compensatory and punitive damages at between $50,000 and $300,000 by employer size. Harassment liability reaches employers with one or more persons under section 12940(j)(4)(A), and filing runs three years to the Civil Rights Department under section 12960(e)(5).
  • And the duty is affirmative. Section 12940(k) makes it unlawful to fail “to take all reasonable steps necessary to prevent discrimination and harassment from occurring.” That is an operational standard, discharged by what leadership actually builds rather than by what it approves.
  • A California constraint specific to how leadership communicates. Labor Code section 1137, added by SB 399 effective 1 January 2025, prohibits adverse action against an employee who declines to attend an employer-sponsored meeting, or to receive or listen to communications, whose purpose is to convey the employer’s opinion about religious or political matters – with “political matters” defined broadly at section 1137(b)(3) to include the decision to join or support any political party or political or labour organisation. Employees who are working at the time and elect not to attend must continue to be paid. Its enforceability is contested in ongoing federal litigation and we do not state that it is or is not enjoined – check the current status before relying on it either way.
  • Plus a local ordinance most strategy discussions forget. The Family Friendly Workplace Ordinance (San Francisco Labor and Employment Code Article 32, operative 1 January 2014) applies at 20 or more employees and gives caregivers a right to request a flexible or predictable arrangement. The employer must respond in writing within 21 days, hold an interactive meeting where the request is not granted as made, deny only for undue hardship with a written explanation, allow 30 days for reconsideration, meet within 21 days and decide within 14. A return-to-office decision taken without that process in mind creates a procedural exposure independent of its merits.

  • The rest of the senior tier is dense too: compensation and benefits managers at a location quotient of 1.67, training and development managers at 1.51, HR managers at 1.47, labor relations specialists at 2.02. The transactional layer is not: HR assistants at 0.94, payroll clerks at 0.97.
  • And the economy those leaders are steering is contracting where it earns. Over the year to July 2026, leisure and hospitality grew 3.5% and private education and health services 3.0%, while manufacturing fell 4.0%, financial activities 3.8%, information 3.3% and professional and business services 1.1% – total nonfarm growth of just 0.2%, carried by hospitality, health and government. Meanwhile San Francisco County’s professional, scientific and technical services sector paid $6,213 a week with wages up 21.1% while employment fell 1.7% (BLS Quarterly Census of Employment and Wages, Q4 2025, released 2 June 2026). Fewer, better-paid people is a strategy problem before it is a payroll one.
