What co-employment does not resolve in San Francisco
- Classification is yours, and California’s test is the strictest. Labor Code section 2775(b)(1) provides that a person providing labour or services for remuneration shall be considered an employee unless the hiring entity demonstrates all three: freedom from control and direction both under the contract and in fact; work outside the usual course of the hiring entity’s business; and customary engagement in an independently established trade of the same nature. The burden sits with the hiring entity, and part B is where most arrangements fail. The exemptions at sections 2776 to 2784 – business-to-business, referral agency, certain professional services including administrator of human resources, construction subcontracts, and Borello-governed occupations – remove the ABC test, not misclassification liability.
- The San Francisco obligations attach to the work, not the payroll provider. The Health Care Security Ordinance covers employees employed more than 90 days who regularly work at least 8 hours a week in the city, at $4.11 an hour payable for employers of 100 or more workers and $2.74 for those with 20 to 99 in 2026, rising to $4.49 and $2.99 on 1 January 2027, with expenditures required to be irrevocable. The Paid Sick Leave Ordinance accrues at one hour per 30 hours worked with a 72-hour balance cap at 10 or more employees and no annual use cap. The Fair Chance Ordinance, amended effective 10 August 2026, applies at five employees with a seven-day applicant response window and a fourteen-day confirmation duty. None of these is transferred by a service agreement.
- Joint employer status is a separate test again, and it tightened. The NLRB final rule at 91 Fed. Reg. 9707, published and effective 27 February 2026, withdrew the 2023 standard and reinstated the 2020 rule at 29 C.F.R. 103.40, requiring an entity to share or co-determine essential terms and to possess and exercise substantial direct and immediate control. The Board’s Browning-Ferris decision of 23 February 2026 applied a reserved-authority test but expressly solely as law of the case; the two are routinely conflated.
- And the California obligations that follow the employer regardless. FEHA at five employees under Government Code section 12926(d) and at one for harassment under section 12940(j)(4)(A); paid sick leave under Labor Code section 246 and the written workplace violence prevention plan under Labor Code section 6401.9 at any size; and Cal-WARN at a 75-person covered establishment with 50 employees laid off in 30 days and no percentage test, under Labor Code section 1400.5.

- Meanwhile San Francisco County averaged $3,779 a week in the fourth quarter of 2025 – 2.41 times the national $1,569 and third highest of the largest US counties – across 71,585 establishments and 703,715 employees, with wages up 8.9% over the year on the news release basis. An hourly health care spend on top of that base is a real number.
- And the market is contracting where the wages are. Over the year to July 2026, manufacturing fell 4.0%, financial activities 3.8%, information 3.3% and professional and business services 1.1%, while leisure and hospitality grew 3.5% and private education and health services 3.0%. Between 1 July and 19 August 2026 California EDD recorded 8 WARN notices affecting 456 San Francisco County employees.
- A caveat on the industry figures. QCEW measures only employment covered by unemployment insurance, which largely excludes independent contractors and sole proprietors – precisely the population the ABC test is about. Covered headcount and actual workforce can differ substantially, and classification decides which figure is right.
