The California exposure behind executive behaviour

  • Harassment reaches one employee. FEHA generally applies at five or more persons under Government Code section 12926(d), but section 12940(j)(4)(A) provides that “for purposes of this subdivision only, ’employer’ means any person regularly employing one or more persons or regularly receiving the services of one or more persons providing services pursuant to a contract.” There is effectively no floor.
  • Damages are uncapped. Government Code section 12965(d) allows a court to grant “any relief a court is empowered to grant” – compensatory damages including emotional distress, punitive damages, injunctive relief, back and front pay – with no statutory cap. Section 12965(c)(6) allows a prevailing party reasonable attorney’s fees and costs including expert witness fees, though a prevailing defendant recovers only where the action was frivolous, unreasonable or groundless. Compare federal Title VII, which caps combined compensatory and punitive damages at between $50,000 and $300,000 by employer size.
  • The clock runs three years, and then another one. Section 12960(e)(5) allows three years from the unlawful practice to file with the Civil Rights Department – filing an intake form counts, with the verified complaint relating back – extendable by up to 90 additional days where the person first learned the facts in the 90 days after expiry. Section 12965(c)(1)(D) then gives one year from the right-to-sue notice to bring a civil action. A conversation in a meeting today is realistically actionable into 2030.
  • And the protected characteristics are broader than most executives assume. Section 12940(a) lists race, religious creed, colour, national origin, ancestry, physical disability, mental disability, reproductive health decisionmaking, medical condition, genetic information, marital status, sex, gender, gender identity, gender expression, age, sexual orientation, and veteran or military status. Section 12940(k) adds the affirmative duty to take all reasonable steps necessary to prevent discrimination and harassment – which is discharged by conduct and process, not by policy documents.
  • One further California constraint on executive conduct, new in 2025. Labor Code section 1137, added by SB 399 effective 1 January 2025, prohibits adverse action against an employee who declines to attend an employer-sponsored meeting or to receive communications whose purpose is to convey the employer’s opinion on religious or political matters, and requires employees who elect not to attend during working time to continue to be paid. Its enforceability is contested in ongoing federal litigation, and we do not state that it is or is not enjoined – check the current status before relying on it either way.

We are not attorneys, and coaching creates no legal privilege. Where a matter is likely to be litigated it should be commissioned through California employment counsel from the outset.

  • Chief executives (SOC 11-1011) 2,710 employed in the San Diego-Chula Vista-Carlsbad MSA at a location quotient of 1.34 – 34% above national concentration – at an annual mean of $281,170 against a national mean of $269,630 and a median of $238,440 (BLS Occupational Employment and Wage Statistics, May 2025 estimates, released 15 May 2026).
  • That is a materially different shape from the rest of California. San Francisco-Oakland-Fremont runs a chief executive location quotient of 1.66 at $320,210, and San Jose 1.79 – but San Jose’s chief executive wage is suppressed by BLS and cannot be quoted at all. San Diego is dense in chief executives and pays them barely 4% above national, the smallest premium in coastal California.
  • The tier below is thin. General and operations managers number 26,230 at a location quotient of 0.76 – well below national – at $144,610. San Diego carries an unusual ratio of chief executives to operating managers, which concentrates decision-making and, with it, conduct risk.
  • And the investigative capability to handle the fallout is the thinnest in the set. Labor relations specialists number 410 at a location quotient of 0.64, the lowest of any occupation here, at $106,780 – against 6,120 compliance officers at a location quotient of 1.48. Regulatory compliance depth and employment-investigation depth are not the same thing.
