What a fractional leader is, legally, to the client

  • Classification comes first, because everything else follows it. Whether a fractional executive is an employee or an independent contractor determines overtime treatment, payroll tax, benefits eligibility, and whether they count toward the client’s headcount thresholds – Title VII and the ADA at 15, the ADEA and COBRA at 20, FMLA and the ACA at 50, WARN and EEO-1 at 100. It is also invisible in standard data: BLS QCEW measures only employment covered by unemployment insurance and therefore largely excludes the independent contractors and sole proprietors that most fractional executives are.
  • Joint employer status changed on 27 February 2026. The NLRB final rule withdrawing the 2023 standard, 91 Fed. Reg. 9707, was published and effective that day, reinstating the 2020 standard at 29 C.F.R. 103.40. It requires an entity to share or co-determine essential terms and conditions of employment and to possess and exercise substantial direct and immediate control. Reserved or indirect authority no longer suffices. That matters in both directions here: a fractional leader exercising hiring, firing and pay authority at a client is doing exactly what the standard describes, and a fractional firm placing that person may find itself in the analysis too.
  • Do not conflate the rule with Browning-Ferris. The Board decision in Browning-Ferris (Newby Island Recyclery) of 23 February 2026 found joint employer status on a reserved-authority basis, but expressly solely as law of the case, with no application to cases arising after the 2020 rule effective date. Four days apart, and routinely conflated in secondary coverage.
  • Where the leader serves several clients, aggregation tests can engage. The FMLA integrated employer test at 29 C.F.R. 825.104(c)(2) weighs common management, interrelation of operations, centralized control of labor relations and degree of common ownership or financial control, in totality and without any ownership threshold. Shared executive leadership is one of the four factors on its face.

  • Those figures are the reason the model exists. A company that needs chief-executive-level judgment but cannot fund $269,630 buys a fraction of it, and the transition into and out of the seat is where the value is either captured or lost.
  • The field is composed of very small firms. Management, scientific and technical consulting services (NAICS 5416) comprised 430,998 establishments and 1,850,533 employees at average annual pay of $124,655, down 0.5% year over year, with administrative and general management consulting (NAICS 541611) at 183,524 establishments and 837,035 employees at $140,025 (BLS Quarterly Census of Employment and Wages, 2025 annual averages, private ownership). Derived from the NAICS 5416 figures, roughly 4.3 employees per establishment against about 11.2 across all private industry.
  • Two caveats we hold to. QCEW counts only unemployment-insurance-covered employment, so it largely excludes the sole proprietors most fractional executives are – read the figures as a floor and a proxy. And we do not publish a size or growth rate for the US fractional executive market, because no verifiable figure exists.
