The classification question, asked twice

  • First, your own bench. Whether the practitioners a firm engages are employees or independent contractors determines overtime treatment, payroll tax, benefits eligibility and whether they count toward the firm’s own thresholds – Title VII and the ADA at 15 employees for 20 or more calendar weeks, the ADEA at 20, COBRA at 20 in the prior calendar year, FMLA and the ACA at 50, and WARN and EEO-1 at 100. The exposure is retrospective, which is why it is normally discovered at the worst possible moment rather than prospectively.
  • Second, what they become at the client. The NLRB final rule at 91 Fed. Reg. 9707, published and effective 27 February 2026, withdrew the 2023 joint employer standard and reinstated the 2020 rule at 29 C.F.R. 103.40, which requires an entity to share or co-determine essential terms and conditions of employment and to possess and exercise substantial direct and immediate control. Reserved or indirect authority no longer suffices – but a placed executive exercising hiring, firing, discipline and pay authority is doing exactly what the standard describes. That is a firm-level question, not only a client-level one.
  • Do not conflate the rule with Browning-Ferris. The Board decision of 23 February 2026 in Browning-Ferris (Newby Island Recyclery) found joint employer status on a reserved-authority basis but expressly solely as law of the case, with no application to cases arising after the 2020 rule effective date.
  • And multi-client engagement can engage aggregation tests. The FMLA integrated employer test at 29 C.F.R. 825.104(c)(2) weighs common management, interrelation of operations, centralized control of labor relations and degree of common ownership or financial control in totality, with no ownership threshold at all. Shared executive leadership is one of the four factors on its face.

  • The HR capability a growing firm would have to buy nationally there are 220,660 human resources managers at an annual mean of $164,230, 912,430 human resources specialists at $81,990, 48,050 training and development managers at $148,370 and 458,300 training and development specialists at $75,550 (BLS Occupational Employment and Wage Statistics, May 2025 estimates, released 15 May 2026).
  • A firm of fifteen or thirty practitioners is at exactly the size where the federal thresholds start arriving and an internal HR hire cannot be justified – which is the same problem the firm solves for its own clients, applied to itself.
  • The sector is contracting. HR consulting services (NAICS 541612) employed 90,136 across 16,826 establishments at average annual pay of $121,119, down 3.0% year over year – the sharpest fall among the professional services classifications – while management, scientific and technical consulting overall (NAICS 5416) employed 1,850,533 across 430,998 establishments at $124,655, down 0.5%, against total private employment growth of 0.4% (BLS Quarterly Census of Employment and Wages, 2025 annual averages, private ownership).
  • Two caveats we hold to. QCEW measures only unemployment-insurance-covered employment and therefore largely excludes the independent contractors and sole proprietors that much of this field is composed of – treat the figures as a floor and a proxy. And we do not publish a size or growth rate for the US fractional executive market: no verifiable figure exists, and every source we examined was content marketing recycling unsourced numbers.
