What New York requires when a leadership or workforce transition involves reductions

  • Fifty employees, and ninety days. New York’s WARN Act, Labor Law Article 25-A, applies to “any business enterprise that employs fifty or more employees, excluding part-time employees, or fifty or more employees that work in the aggregate at least two thousand hours per week.” Section 860-b requires notice “at least ninety days before the order takes effect”50 percent longer than federal WARN’s 60 days, and the single most consequential difference for anyone planning a transition on a federal template.
  • The triggers are lower than federal ones too. A mass layoff is an employment loss at a single site in any 30-day period affecting at least 25 employees and at least 33 percent of the site’s workforce, or 250 or more regardless of percentage – where federal WARN needs 50 employees for the percentage test. A plant closing is a shutdown causing employment loss for 25 or more employees in any 30-day period. A relocation of all or substantially all operations 50 miles or more away triggers it, as does a 50 percent or greater reduction in hours for the same numeric groups over six months. Employment loss means termination other than discharge for cause, layoff exceeding six months, or a 50 percent hours reduction in each month of any six consecutive months.
  • Notice goes to seven categories of recipient, electronically. Section 860-b requires notice to affected employees and their representatives; the Department of Labor; local workforce investment boards; the chief elected official of the locality and of the school district; and local police, fire, emergency medical and ambulance providers. Notice to the Commissioner must be filed electronically through the WARN portal under 12 NYCRR Part 921. Liability under section 860-g is back pay at the higher of the average regular rate over the last three years or the final rate, plus benefits, capped at the lesser of 60 days or one-half the days employed. Section 860-h adds a civil penalty of “not more than five hundred dollars for each day of the employer’s violation”waived entirely if the employer pays all section 860-g amounts within three weeks of ordering the event. Exceptions are narrow: faltering company for plant closings only, unforeseeable business circumstances, and natural disaster.
  • And a retention agreement written before December 2025 may no longer hold. The Trapped at Work Act, new Labor Law Article 37 sections 1050 to 1055, effective 19 December 2025, declares employment promissory notes “unconscionable, against public policy, and unenforceable” – which reaches any instrument requiring a worker to repay a sum if they leave before a stated period, including training-cost framing. Carve-outs exist for genuine cash advances that are not training, property sold or leased to the employee, educational sabbatical terms, and collectively bargained programs. Succession plans that lock a designated successor in with repayment terms need rebuilding on incentives that vest forward.
