The obligations decided by last year’s data

  • COBRA is a prior-year test. Federal COBRA applies to employers with 20 or more employees in the prior calendar year, with continuation premiums chargeable at up to 102% of plan cost. A company that grew through 20 during one year picks up the obligation on 1 January of the next, on the basis of headcount records it may not have kept in a queryable form.
  • ACA applicable large employer status is a look-back. The threshold is 50 full-time employees including full-time equivalents, determined by looking back across the prior year, with related companies generally combined under section 414 of the Internal Revenue Code (IRS, page reviewed 8 August 2026). Full-time equivalents mean part-time hours aggregate, so the determination needs monthly hours by employee for twelve months – which is precisely the data a startup on its third payroll provider usually cannot produce.
  • The forward-looking thresholds are simpler but still need history. Title VII and the ADA apply at 15 employees for 20 or more calendar weeks in the current or preceding year; the ADEA at 20 on the same weeks test; FMLA at 50 for 20 or more workweeks (29 C.F.R. 825.104(a)). Each is a count across time rather than a count today, so a company that spiked to 52 people for a quarter and settled back to 44 may still be covered.
  • And in a venture portfolio each company answers for itself. Minority stakes rarely satisfy the controlled group tests at 26 U.S.C. 414(b) and (c), which require 80% ownership for a parent-subsidiary chain or an 80% controlling interest with more than 50% effective control for a brother-sister group. Portfolio-level infrastructure can standardise how the data is kept; it cannot pool the thresholds.

  • The national HR labour market, for reference 220,660 human resources managers at an annual mean of $164,230; 912,430 human resources specialists at $81,990; 22,940 compensation and benefits managers at $162,640; 48,050 training and development managers at $148,370; 153,140 payroll and timekeeping clerks at $59,630; and 90,220 human resources assistants at $52,250 (BLS Occupational Employment and Wage Statistics, May 2025 estimates, released 15 May 2026).
  • Set against those figures, the reason portfolio companies build infrastructure rather than hire is arithmetic. A 45-person company cannot justify a $164,230 manager, and a $81,990 specialist is not equipped to answer a look-back question or a fiduciary one.
  • The wider base total US private employment was 133,117,983 across 11,934,418 establishments at average annual pay of $79,097, up 0.4% year over year, while HR consulting services (NAICS 541612) fell 3.0% to 90,136 employees and professional employer organisations (NAICS 561330) fell 3.7% to 406,631 (BLS Quarterly Census of Employment and Wages, 2025 annual averages, private ownership). Every outsourced HR delivery model contracted in a growing economy.
  • And a caveat that matters for startups specifically QCEW counts only employment covered by unemployment insurance, which largely excludes independent contractors and sole proprietors. In a portfolio built on contractors and fractional operators, covered headcount understates the workforce – and classification is what decides which of the thresholds above are actually running.
  • What we will not state the number of US venture-backed companies or their aggregate employment. Neither could be sourced to an authoritative publication, and we would rather leave the gap visible.
